Terms of Service
Please read these Terms of Service carefully. They are a binding agreement between you and Intelligence Data Strategy governing your use of this website.
1. Agreement to These Terms
These Terms of Service (the “Terms”) govern your access to and use of intelligenceds.com and all pages, content, and features made available on it (the “Site”). The Site is operated by Intelligence Data Strategy (“IDS”, “we”, “us”, or “our”), 9980 S 300 W, Ste 200, Sandy, UT 84070, USA.
By accessing or using the Site, you agree to these Terms. If you do not agree to them, please do not use the Site.
2. The Site Is Informational; Consulting Engagements Are Separate
The Site describes the data architecture, data engineering, governance, integration, migration, and related consulting services that we offer. Nothing on the Site is an offer capable of acceptance, and nothing on it creates a consulting engagement, a client relationship, or any professional duty on our part.
Any engagement between you and IDS is governed exclusively by a separate written agreement signed by both parties. Where a signed agreement conflicts with these Terms in respect of the services it covers, the signed agreement controls.
3. No Professional Advice and No Guaranteed Results
Content on the Site — including service descriptions, solution pages, and any results, metrics, or outcomes we describe — is general information intended for a business audience. It is not technical, financial, legal, tax, or regulatory advice, and it is not a recommendation for your particular circumstances.
Any outcomes described reflect specific past engagements under specific conditions. They are illustrative only and are not a promise, guarantee, or prediction of comparable results for you. Do not act on Site content without obtaining professional advice appropriate to your situation.
4. Booking an Appointment
The Site offers appointment scheduling through Google Calendar Appointment Schedules, a service operated by Google. When you book, the details you enter are submitted to and processed by Google and are then made available to us. Your use of that scheduling service is also subject to Google’s own terms and privacy policy.
Booking a meeting places no obligation on either you or us beyond attending it. Please do not send us confidential, proprietary, or personal information through the booking form or by email before a signed agreement and, where appropriate, a non-disclosure agreement are in place. Unsolicited information you send us before that point will not be treated as confidential.
5. Acceptable Use
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- access, probe, or test the vulnerability of the Site or any connected system, or breach any security or authentication measure;
- interfere with or disrupt the Site, or impose an unreasonable load on it;
- use any robot, spider, scraper, or other automated means to access or harvest content, except for well-behaved indexing by public search engines;
- copy, republish, sell, or commercially exploit any part of the Site except as permitted in Section 6;
- frame or mirror the Site, or misrepresent your affiliation with us; or
- upload or transmit malicious code, or use the Site to distribute unsolicited communications.
6. Intellectual Property
The Site and its text, graphics, layout, page design, and the selection and arrangement of its content are owned by IDS or its licensors and are protected by United States and international intellectual property laws. “Intelligence Data Strategy” and our logo are our marks and may not be used without our prior written permission.
You may view the Site and print or download individual pages for your own internal, non-commercial use in evaluating our services. All other use — including reproduction, modification, distribution, or republication — requires our prior written consent.
The Site is built on a commercially licensed HTML template and incorporates third-party open-source components, including Bootstrap, Bootstrap Icons, and AOS. Each remains subject to its own licence, and nothing here grants you rights in them beyond those licences.
7. Third-Party Links and Embedded Services
The Site links to, and loads resources from, third parties — including Google (web fonts and appointment scheduling) and LinkedIn (our company page and its advertising and analytics tag). We do not control those services, we are not responsible for their content, availability, or practices, and their presence on the Site is not an endorsement.
Your use of any third-party service is governed by that party’s own terms and privacy policy. Our Privacy Policy explains what these third parties receive when you visit the Site.
8. Availability and Changes to the Site
We provide the Site on an “as available” basis and may change, suspend, restrict, or discontinue any part of it at any time and without notice. We do not warrant that the Site will be uninterrupted, timely, secure, or free of errors, or that any defect will be corrected.
9. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Site and all content on it are provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty as to the accuracy, completeness, reliability, or currency of Site content.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
10. Limitation of Liability
To the fullest extent permitted by applicable law, IDS and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of or inability to use the Site — whether based in contract, tort, negligence, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site will not exceed one hundred United States dollars (US$100).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless IDS and its owners, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.
12. Privacy
Our Privacy Policy explains what information we and our third-party providers collect when you use the Site, why, and what rights you have. It forms part of these Terms.
13. Changes to These Terms
We may revise these Terms from time to time. The revised version takes effect when it is posted, and the “last updated” date at the top of this page will change. Your continued use of the Site after that point means you accept the revised Terms. Please review this page periodically.
14. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws rules. You and IDS submit to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah, and waive any objection to venue in those courts.
If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with your local law. Nothing in this section deprives a consumer of the protection of mandatory law in their country of residence.
15. General
Severability. If any provision of these Terms is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will stay in force.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and IDS regarding the Site, and supersede any prior understanding about it.
Language. These Terms may be made available in more than one language. If the versions differ, the English version governs.
